Welcome to RONAY.

These Terms & Conditions ("Terms") govern your access to and use of our website, products and services and apply, where relevant, to purchases made by consumers ("B2C") and business customers ("B2B").

By accessing our website or placing an order with RONAY, you agree to these Terms together with our Privacy Policy, Shipping Policy and Return & Refund Policy.

Nothing in these Terms is intended to exclude, restrict or waive any right or remedy that cannot lawfully be excluded or restricted under applicable United Arab Emirates law.

1. Company Information

RONAY is operated by RONAY L.L.C-FZ, a company registered in the United Arab Emirates.

RONAY offers lifestyle, home fragrance, body care, wellness products and related accessories through its website and other authorised sales channels.

2. Scope of Application

These Terms apply to visitors and customers using our website or purchasing directly from RONAY.

They may also apply, where relevant, to business customers, including spas, hotels, retailers, distributors, resellers and corporate clients.

Where RONAY and a business customer enter into a separate written agreement, the terms of that agreement shall prevail to the extent of any inconsistency with these Terms.

3. Product Information, Nature & Intended Use

RONAY takes reasonable care to ensure that product descriptions, images, ingredients, sizes, prices and other information displayed on our website are accurate.

However, minor variations in appearance, colour, texture, fragrance, finish or packaging may occur, particularly where products contain natural ingredients or are produced in different batches, provided that such variations do not make the product materially different from its stated description or affect applicable consumer rights.

RONAY body care and skin-contact products are intended for external use only unless expressly stated otherwise.

RONAY products are not medicines and are not intended to diagnose, treat, cure or prevent any disease or medical condition.

Customers should follow the instructions, warnings and storage guidance supplied with each product.

For skin-contact products, a patch test before first use is recommended, particularly where the customer has sensitive skin or known sensitivities.

Use should be discontinued if irritation or an adverse reaction occurs, and appropriate professional advice should be sought where necessary.

4. Professional and B2B Orders

Orders from spas, hotels, retailers, distributors, corporate clients and other business customers may be subject to additional commercial terms, including:

• Minimum order quantities;
• Wholesale or negotiated pricing;
• Deposits or advance payments;
• Production and delivery lead times;
• Credit terms;
• Storage and handling requirements;
• Branding or customisation requirements; and
• Separate supply, distribution, consignment or partnership agreements.

RONAY may require written order confirmation, purchase orders, deposits or signed agreements before accepting or commencing a B2B order.

Unless otherwise agreed in writing, these Terms apply in addition to the specific commercial terms agreed with the business customer.

5. Orders, Pricing and Acceptance

Prices are displayed in UAE Dirhams (AED) unless otherwise stated.

Any applicable taxes, delivery charges and other charges will be displayed or communicated as required before completion of the order.

RONAY reserves the right, to the extent permitted by applicable law, to:

• Correct genuine pricing, description or typographical errors;
• Reject or cancel orders that cannot reasonably be fulfilled;
• Limit quantities;
• Refuse transactions reasonably suspected to involve fraud, misuse or unauthorised activity; and
• Cancel orders where a product is unavailable.

Submitting an order constitutes an offer to purchase.

Receipt or processing of payment does not necessarily constitute final acceptance of an order.

An order is accepted when RONAY confirms acceptance or begins fulfilment of the order, subject to applicable law.

If RONAY cancels an order after payment has been collected and no amount is lawfully due from the customer, the applicable amount will be refunded using the original payment method or another method agreed with the customer.

RONAY will not change the price or introduce undisclosed mandatory charges after an order has been concluded, except where a change is specifically requested and agreed by the customer or otherwise permitted by applicable law.

6. Custom, Personalised and Made-to-Order Products

Products made, personalised or customised specifically to a customer's specifications may not be cancelled, returned or refunded after production has commenced where permitted by applicable law.

This does not affect any rights the customer may have where a customised product is defective, damaged, unsafe, incorrectly supplied or materially different from what was agreed.

For B2B private-label, customised or made-to-order products, cancellation terms may additionally be governed by the relevant quotation, purchase order or separate written agreement.

7. Shipping and Delivery

Shipping, delivery charges, estimated delivery times, failed deliveries and related matters are governed by our Shipping Policy.

Customers are responsible for providing complete and accurate delivery information.

Delivery times communicated by RONAY are estimates unless expressly stated otherwise or required by applicable law.

RONAY will not be responsible for delays caused solely by circumstances outside its reasonable control, subject to any rights available to the customer under applicable law.

Risk associated with delivery shall be allocated in accordance with our Shipping Policy and applicable UAE law.

RONAY does not exclude responsibility for loss, damage, non-delivery or other matters where such responsibility cannot lawfully be excluded.

8. Returns, Refunds and Defective Products

Returns, replacements and refunds are governed by our Return & Refund Policy and applicable UAE law.

For hygiene, health and safety reasons, certain opened, used or unsealed body-care, cosmetic or personal-use products may not be eligible for a change-of-mind return where permitted by law.

This restriction does not apply where the customer has a mandatory legal right to a remedy, including where applicable in relation to a product that is defective, damaged, unsafe, incorrectly supplied or materially different from its description.

Nothing in our Return & Refund Policy or these Terms limits any consumer right that cannot legally be excluded.

9. Intellectual Property

Unless otherwise indicated, the RONAY name, branding, logos, product names, website content, text, graphics, photographs, videos, packaging designs, artwork and other materials are owned by, licensed to or lawfully used by RONAY.

Formulations, methods, specifications, know-how and other proprietary information are protected to the extent available under applicable intellectual-property, confidentiality, trade-secret or other laws.

No content belonging to RONAY may be reproduced, copied, modified, distributed, commercially exploited or used to create misleading associations with RONAY without prior written authorisation, except where such use is permitted by applicable law.

No licence or ownership right is granted merely through access to the website or purchase of a RONAY product.

10. Reviews and User-Generated Content

Where you voluntarily submit a review, photograph, video, testimonial or other content directly to RONAY or through a RONAY-controlled submission feature for publication or promotional use, you grant RONAY a non-exclusive, worldwide, royalty-free licence to reproduce, display and use that content for legitimate business and promotional purposes, subject to applicable law.

You confirm that you have the necessary rights to submit such content and that its use as authorised will not infringe the rights of another person.

Merely mentioning or tagging RONAY on a third-party social-media platform does not, by itself, transfer ownership of your content to RONAY.

Where appropriate, RONAY may request permission before republishing third-party social-media content.

11. Website Availability and Accuracy

RONAY aims to maintain accurate and accessible website information but does not guarantee that the website will always operate without interruption, delay or technical error.

RONAY may temporarily suspend or modify website functionality for maintenance, security, technical or operational reasons.

RONAY will take reasonable steps to correct material errors brought to its attention.

Nothing in this section limits responsibility for information or obligations that RONAY is legally required to provide accurately.

12. Limitation of Liability

To the fullest extent permitted by applicable law, RONAY shall not be liable for indirect, incidental, special or consequential losses arising from circumstances outside the scope of liability imposed by applicable law.

For business customers, unless otherwise agreed in a separate written agreement, RONAY's aggregate contractual liability arising from a particular order shall, to the fullest extent permitted by law, not exceed the amount paid or payable for the order giving rise to the claim.

Any limitation applicable to consumers applies only to the extent permitted under applicable UAE law.

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited, including mandatory consumer rights and applicable product-safety obligations.

13. Customer Responsibility and Misuse

Customers must use RONAY products in accordance with their intended purpose and any instructions, warnings, storage conditions or safety guidance provided.

RONAY shall not be responsible, to the extent permitted by law, for loss or damage caused solely by misuse, improper storage, unauthorised alteration or use contrary to clear product instructions.

Business customers agree, to the extent permitted by law, to indemnify RONAY against third-party claims resulting directly from their unlawful resale, unauthorised modification, misleading representation or misuse of RONAY products, except to the extent that the claim results from an act, omission, defect or legal responsibility attributable to RONAY.

14. Force Majeure

RONAY shall not be liable for failure or delay in performing an obligation where that failure or delay results from circumstances beyond its reasonable control, including natural disasters, severe weather, governmental restrictions, transport or courier disruption, supply-chain interruption, labour disruption, utility or communications failure or other force majeure events.

RONAY will take reasonable steps to minimise disruption where reasonably possible.

This section does not exclude any mandatory consumer right arising under applicable law.

15. Governing Law and Jurisdiction

These Terms are governed by the applicable federal laws of the United Arab Emirates and, where applicable, the laws and regulations applicable in the Emirate of Dubai.

Subject to any mandatory consumer dispute-resolution or jurisdictional rights under applicable law, disputes arising from these Terms or transactions with RONAY shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.

16. Amendments to These Terms

RONAY may update these Terms from time to time to reflect changes to our business, website, products or applicable legal requirements.

The updated version will be published on our website together with an updated effective or revision date.

Changes will apply prospectively from their effective date unless applicable law requires otherwise.

Terms applicable to an order already accepted will not be retroactively changed to materially reduce the customer's rights in relation to that order.

17. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary, and the remaining provisions shall continue in effect to the extent permitted by applicable law.
